Associate General Counsel, Equity Capital Markets Greater New York City, NY Area

The Company is seeking an Associate General Counsel with a focus on Equity Capital Markets. The successful candidate will be part of a global legal team that provides comprehensive legal advice and guidance across the firm's business and operations. This role is pivotal in managing the legal aspects of the firm's equity capital markets franchise and related investment activities. Key responsibilities include advising on a wide range of equity capital market and related investment transactions, from origination to closing, and independently managing the end-to-end deal execution process. The role also involves partnering with senior legal colleagues, investment professionals, and various other internal and external stakeholders to ensure the successful structuring and execution of investment transactions. Applicants must have a minimum of 5 years' of experience in a corporate or capital markets practice, with a deep understanding of equity capital market transactions, including a variety of products and structures. A strong command of federal securities laws, particularly the Securities Act and the Securities Exchange Act, is essential. Experience with venture and growth equity investments, debt capital markets, and joint ventures is a plus. The ideal candidate will have a sound understanding of legal considerations related to material nonpublic information, conflicts of interest, and fiduciary duties, as well as the strategic judgment to balance legal risk with business objectives. Outstanding communication skills, a proactive and organized approach, and the ability to manage multiple priorities in a fast-paced environment are also required.
