Associate General Counsel, Commercial Greater San Jose, CA Area

The Company is seeking an Associate General Counsel, Commercial, to lead legal work for commercial-scale project development and deployment. Responsibilities include structuring, negotiating, and drafting commercial and project agreements; leading project financing workstreams and managing financial closings; and advising executives on transaction structures, legal risks, and commercial terms. The role also supports corporate financing, governance, and entity structuring, conducts due diligence, and manages outside counsel and legal spend. The successful candidate will help build the legal function through templates, playbooks, and processes. Candidates should have at least 15 years of legal experience, including a strong law firm foundation and senior in-house leadership. Deep energy project development and finance expertise is required, including experience with project financings, tax equity, offtake agreements, EPC and O&M contracts, and M&A. The role calls for sound commercial judgment, leadership across legal and cross-functional teams, and familiarity with construction, supply chains, manufacturing, and interconnection. Candidates should also be comfortable using AI tools and working autonomously in fast-paced, ambiguous environments.
