Assistant General Counsel, Capital Markets & Securities Greater Houston, TX Area + 2 more

The Company is in search of an Assistant General Counsel with a focus on Capital Markets and Securities. The successful candidate will be responsible for a wide range of legal matters, including advising on securities offerings, SEC reporting and disclosure, and corporate finance issues, particularly related to credit facilities. This role requires a professional with a J.D. from an accredited law school, active bar membership, and 6-8 years of experience, with a strong background in SEC reporting and disclosure for public companies. The ideal candidate will have a combination of big law training and in-house experience, and be adept at working with senior management, the board, outside counsel, and lenders. Key responsibilities for this position include serving as the legal lead on various SEC forms, partnering with cross-functional teams for the annual meeting of shareholders, and overseeing the company's insider trading policy. The role also involves negotiating and administering credit facilities, supporting capital structure planning, and leading or supporting capital market transactions. The Assistant General Counsel will be expected to have excellent drafting, analytical, and communication skills, as well as the ability to manage multiple priorities in a fast-paced environment. Preferred qualifications include experience with disclosure management software, familiarity with Nasdaq listing rules, and a background in M&A and other strategic corporate transactions.
