Associate General Counsel, Real Estate Finance

The Company is seeking an Associate General Counsel with a focus on real estate finance to join their dynamic legal team. The successful candidate will be responsible for leading and supporting the legal aspects of real estate investment fund formation, fundraising, and closing activities. This includes drafting, reviewing, and negotiating a variety of fund governing documents, subscription materials, and related transaction documentation. The role also involves coordinating fund closings, managing outside counsel, and overseeing the preparation and execution of closing deliverables. Additionally, the Associate General Counsel will provide legal support for fund-level financing transactions, review and negotiate investor transfer documentation, and partner with business stakeholders on new investment products and strategic initiatives. Applicants must have a J.D. from an accredited law school, be admitted to at least one U.S. state bar, and have approximately 7-10 years of legal experience, with a strong background in investment funds, fund formation, securities law, and related transactional matters. Experience in commercial real estate investment, development, financing, or private funds is highly desirable, and experience with tax-advantaged investment structures or government-sponsored development programs is a plus. The ideal candidate will be self-directed, collaborative, and comfortable operating in a fast-paced investment environment, with excellent communication, interpersonal, and legal skills. Responsibilities also include managing regulatory filings, overseeing KYC and investor onboarding requirements, and developing legal processes to support the growing platform.
