Vice President, Associate General Counsel, M&A & Corporate Securities

The Company is seeking a VP, Associate General Counsel with a focus on M&A and corporate securities. The successful candidate will be a key member of the legal team, leading legal efforts in capital markets and financing transactions, strategic transactions, and advising on corporate governance and regulatory matters. This role requires a seasoned attorney with at least 12 years of experience, including a combination of top Am Law 100 firm training and in-house experience at a fast-paced, innovative, publicly traded technology or cybersecurity company. The VP, Associate General Counsel will be responsible for managing a small legal team, running board and committee operations, and overseeing the company's public company readiness initiatives. The ideal candidate will have a deep understanding of securities laws, experience in taking a company public, and a proven track record in leading strategic transactions. They should be adept at managing a global subsidiary structure, have a strong command of financial and accounting concepts, and be capable of building and developing a team. The role demands a strategic partner who can work closely with cross-functional teams, including finance, accounting, and leadership, and who is comfortable using AI tools to enhance legal processes. The candidate should be a proactive problem-solver, with excellent communication skills, and the ability to thrive in a fast-paced, private equity-backed environment.
