Assistant General Counsel, Commercial Contracts (AI, Data & IP)
About the Role
Remote (anywhere in United States)
The Company is seeking an Assistant General Counsel with a focus on commercial contracts, particularly in the areas of AI, data, and intellectual property. The successful candidate will be responsible for the drafting and negotiation of AI and data rights provisions in commercial agreements, as well as translating privacy, security, and compliance requirements into contract terms. This role requires a hands-on approach, including sitting across the table from clients and working closely with internal teams to ensure that contract terms align with the product. The Assistant General Counsel will also be involved in structuring IP ownership and licensing, and will be the legal partner to Sales and Client Success on active deals. Applicants must have a JD from an accredited law school, be an active member of at least one U.S. state bar, and have a minimum of 8 years' of commercial contracting experience. A strong background in AI and data rights, as well as substantive experience in IP within a software or data context, is essential. The role demands a working command of HIPAA and health data privacy, and experience in the healthcare industry is a must. The ideal candidate will have a proven track record of working directly with Sales or Client Success teams, and be comfortable operating within the legal and compliance standards set by the Chief Privacy Officer. The ability to provide clear, fast legal advice and to work in a fast-paced, dynamic environment is also required.
