The Company is seeking a Vice President, Legal Affairs & Assistant Corporate Secretary to join their team. The successful candidate will be a key partner to senior leaders, the Board of Directors, and other stakeholders, providing oversight and advice on a range of legal matters, including public company reporting and disclosure, securities law compliance, corporate governance, and M&A. This role requires a sophisticated corporate and securities lawyer with a JD from a top-tier law school, active bar admission, and approximately 12+ years of relevant legal experience. The ideal candidate will have a strong background in SEC reporting and disclosure, federal securities laws, and a proven track record of supporting Boards of Directors and leading strategic corporate transactions. Key responsibilities for this executive position include serving as the primary legal advisor on various corporate legal issues, leading the preparation and review of SEC filings, and advising on governance best practices. The role demands a professional with the ability to balance strategic thinking with hands-on execution, outstanding communication skills, and the capacity to manage multiple priorities. The candidate should be adept at problem-solving, have strong project management skills, and be capable of building trusted relationships across all levels of the organization. Experience in advising senior executives on complex legal and business issues, as well as the ability to influence and collaborate effectively, are essential for success in this dynamic and team-oriented environment.
