Associate General Counsel, Fund Governance

The Company is in search of an Associate General Counsel with a focus on Fund Governance. The successful candidate will be a seasoned legal professional with a minimum of ten years' related legal experience, particularly in the areas of corporate governance, board advisory matters, investment management, financial services, or another regulated industry. This role is pivotal in supporting the governance and corporate secretary function for the company's various fund boards, including the Board of Trustees and its committees. The Associate General Counsel will also be responsible for advising on a range of governance matters related to the company's investment products and affiliated company boards, serving as a trusted advisor on fiduciary and governance issues, and ensuring compliance with legal and regulatory requirements. Key responsibilities for this position include acting as a strategic legal advisor on corporate governance matters, overseeing the preparation of meeting materials, and monitoring legislative and regulatory developments. The ideal candidate will have a strong knowledge of governance practices, fiduciary obligations, and corporate law, with familiarity in the Investment Company Act of 1940 and the Investment Advisers Act of 1940. They should be skilled in managing complex board and senior stakeholder relationships, and be adept at providing practical advice and influencing at senior levels. The role also involves directing and managing the work of outside counsel, as necessary, and participating in special projects.
