Executive Director, Equity Finance Counsel

The Company is seeking an Executive Director, Equity Finance Counsel to provide legal support for a broad range of equity finance activities. The role advises business units on equity sales and trading, including margin lending, equity repurchase transactions, securities lending, fund financing, and delta-one swaps. Responsibilities include advising on regulatory compliance, drafting and negotiating financing and securities documentation, and maintaining standard templates. The counsel will also partner with internal teams to address legal, operational, credit, collateral, and risk matters. Candidates must hold a JD from a U.S. law school and be admitted to the New York State Bar, with 12–15 or more years of legal experience. A background combining law firm and in-house financial services work is preferred. Strong experience in margin lending, equity repurchase transactions, and delta-one products is required, along with knowledge of relevant securities regulations, including Dodd-Frank, Regulation T, and Regulation U. The successful candidate will be a trusted business partner to internal clients.
